Key Role and Responsibilities
Work independently to engage a full set of company secretarial duties for both Hong Kong, offshore and overseas companies, including preparing minutes and resolutions, handling corporate documentation, and liaising with auditors, bankers, and other professional advisors and government authorities
Attend to the formalities of board meetings including the preparation of board packs and the minutes of meetings
Ensure compliance of all statutory matters pertaining to all group companies
Produce quarterly compliance reporting for all Group companies, and coordinating amongst internal and external parties as required
Coordinating and liaising with External / Third Party Company Secretaries as required for select jurisdictions
Coordinating and liaising with other departments of the company as required
Liaison with lawyers, notary public on notarization and legalization of documents
Other job related duties as assigned
Job Experience, Functional Knowledge and Qualifications
Education / experience / technical skills required:
University graduate
Graduate / Associate of HKGCI
At least 4 years of relevant work experience at large professional firms or for an in-house role
Solid experience in the preparation of board minutes/resolutions and relevant corporate documents
Sound knowledge of the Companies Ordinance of different jurisdictions
Proficiency in Microsoft Word and Excel
Knowledge of legal documents, AML and KYC requirements
General skills / attributes / other:
Mature and detail-oriented
Self-starter and able to work independently to meet tight deadlines
Excellent command of written and spoken English
